By the looks of the kit that's on e-bay right now I would say everything comes out. Seats, kick panels, door channels, center console + waterfall, tire inflate kit, back side panels, and seat stops.
Since you will be doing all that I would take Jeff's advice and Dynamat all the area first + doors before putting the new carpet kit in, it will make a big difference in road noise....
